END USER AGREEMENT
This End User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "Student") and S.A.S ProChannel Partners, located at 60 rue François 1er 75008 Paris, France - registration number 938297249, ("Company," "we," "our," or "us") regarding your use of the third party, Learning Management System (LMS) platform, including all online training courses, digital products, content, and access to online communities (collectively, "Services"). By accessing or using the Services, you agree to the terms of this Agreement. If you do not agree to the terms outlined below, you must immediately discontinue use of the Services.
1. Acceptance of Terms
By registering an account or accessing and using our Services, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement. This Agreement constitutes a legally enforceable contract between you and ProChannel Partners. If you do not accept these terms, you are prohibited from using the Services.
We reserve the right to modify or amend this Agreement at any time. You will be notified of any material changes, and continued use of the Services after such modifications will constitute your acceptance of the revised Agreement.
2. Account Registration and User Responsibilities
To access certain features and Services, you may need to create an account with ProChannel Partners. You agree to:
Provide accurate, complete, and up-to-date information during the account registration process.
Maintain the confidentiality of your login credentials (username, password) and assume full responsibility for all activities that occur under your account.
Immediately notify ProChannel Partners if you become aware of any unauthorized access or use of your account, or any other security breaches related to your account.
Ensure that your account is used only by you, and not by any unauthorized third party.
If you fail to provide accurate information or violate any terms of this Agreement, ProChannel Partners reserves the right to suspend or terminate your access to the Services.
3. Grant of License
By agreeing to this Agreement, ProChannel Partners grants you a personal, non-exclusive, non-transferable, and revocable license to use the Services for your personal, non-commercial educational purposes, subject to the terms and conditions of this Agreement.
You are granted access to the Content solely for the purpose of completing the training courses or using the digital products provided. Any other use of the Content or Services, including copying, redistribution, or public performance, is strictly prohibited.
You acknowledge and agree that ProChannel Partners, and its licensors, retain all intellectual property rights, including copyright, trademarks, and patents, in and to the Services and Content. This license does not grant you any ownership rights in the Content or the Services.
4. Digital Rights Management (DRM) and Content Protection
ProChannel Partners utilizes Digital Rights Management (DRM) technology to protect the intellectual property of the Content available on the platform. You acknowledge and agree to the following:
You will not attempt to copy, reproduce, distribute, modify, display, or create derivative works based on any Content without the prior written consent of ProChannel Partners.
You will not remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Content.
You will not circumvent, disable, or interfere with any DRM protections, security features, or technical mechanisms implemented to protect the Content or the Services.
Any attempt to violate these provisions may result in immediate termination of your account and legal action, including potential civil or criminal penalties.
5. User Conduct and Obligations
By using the Services, you agree to:
Use the Services in a lawful manner and in accordance with applicable laws and regulations, including those concerning data protection, intellectual property, and privacy rights.
Refrain from uploading, posting, or distributing any content that is illegal, offensive, defamatory, harmful, infringing on others' rights, or otherwise inappropriate.
Not engage in any activities that interfere with or disrupt the Services, including but not limited to attempting to access unauthorized areas of the platform, uploading viruses or malware, or engaging in any form of cyberattack.
Not use the Services to harass, abuse, or harm other users or third parties, or to send unsolicited communications, including spam.
ProChannel Partners reserves the right to monitor the use of the Services and to take appropriate action against users who violate these conduct rules, including restricting access to certain features, suspending accounts, or terminating access to the Services.
6. Privacy and Data Protection
ProChannel Partners is committed to protecting your privacy and handling your personal data in compliance with applicable data protection laws, including the
General Data Protection Regulation (GDPR). By using the Services, you consent to the collection, use, and storage of your personal data as described in our
Privacy Policy.
You have the right to:
Access, correct, and update your personal information.
Request the deletion of your personal data, subject to certain legal exceptions.
Object to the processing of your data, including for marketing purposes.
Request a copy of your personal data in a portable format.

7. Payment, Fees, and Refunds
Certain courses, products, or Services on the platform may require payment. By purchasing a course or product, you agree to pay all applicable fees. Payments will be processed securely viathe designated payment provider.
Refunds, if applicable, will be handled in accordance with the refund policy outlined on the specific course or product page. Please refer to the individual course or product page for specific refund terms.
ProChannel Partners reserves the right to modify its pricing structure or discontinue any Service at any time without prior notice.
8. Termination of Access
ProChannel Partners reserves the right, at its sole discretion, to suspend or terminate your access to the Services:
If you breach any provision of this Agreement, including violation of intellectual property rights or unauthorized use of the platform.
If ProChannel Partners determines that your continued use of the Services may pose a risk to the platform or other users.
For any other reason deemed appropriate by ProChannel Partners, including technical issues or maintenance.
Upon termination of your access, you must immediately cease using the Services and destroy any copies of the Content in your possession.
9. Disclaimer of Warranties
The Services are provided "as-is" and "as available," with no warranties or representations, either express or implied. ProChannel Partners does not guarantee that the Services will be error-free, uninterrupted, or secure.
To the fullest extent permitted by law, ProChannel Partners disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
In no event shall ProChannel Partners be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising from or related to your use or inability to use the Services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, ProChannel Partners' total liability for any claims under this Agreement will not exceed the amount you paid for access to the Service in question.
11. Indemnification
You agree to indemnify and hold harmless ProChannel Partners, its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, expenses (including legal fees), or judgments arising from or in connection with:
Your violation of this Agreement.
Your infringement of any third-party rights.
12. Changes to this Agreement
ProChannel Partners reserves the right to modify or update this Agreement at any time. Any changes to the Agreement will be posted on the platform and will become effective immediately upon posting. You will be notified of any material changes, and continued use of the Services after such modifications will constitute your acceptance of the revised Agreement.
13. Governing Law and Dispute Resolution
This Agreement will be governed by and construed in accordance with the laws of the jurisdiction in which ProChannel Partners is registered. Any disputes arising from or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration body.
If any provision of this Agreement is deemed invalid or unenforceable by a court or tribunal of competent jurisdiction, the remaining provisions will remain in full force and effect.
